5. Intellectual Property

Our Property: All content, software, and materials provided through our services are owned by Wyecliff or our licensors and are protected by intellectual property laws.

Your Content: You retain ownership of content you provide to us. By using our services, you grant us a license to use your content as necessary to provide the services.

Feedback: Any suggestions, ideas, or feedback you provide to us may be used by Wyecliff without any obligation to you.

6. Third-Party Services

Our services may integrate with or link to third-party services (such as QuickBooks, payment processors, etc.). Your use of third-party services is subject to their respective terms and policies. Wyecliff is not responsible for third-party services and does not endorse them.

7. Confidentiality

Both parties agree to maintain the confidentiality of any confidential information shared during the course of the service relationship. This includes business information, technical data, and proprietary methodologies. Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully obtained from third parties.

8. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted service. We reserve the right to:

• Modify, suspend, or discontinue any part of the services at any time
• Perform scheduled maintenance with reasonable notice when possible
• Update features and functionality to improve the services

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• WYECLIFF SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR LOSSES RESULTING FROM THIRD-PARTY SERVICES OR YOUR FAILURE TO MAINTAIN ACCOUNT SECURITY

11. Indemnification

You agree to indemnify and hold Wyecliff harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service relationship:

• With written notice as specified in your service agreement
• Immediately upon material breach by the other party
• We may suspend or terminate access for violation of these Terms

Upon termination, your right to use the services ceases. Provisions that should survive termination (such as intellectual property, limitation of liability, and dispute resolution) shall remain in effect.

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware.

Arbitration: Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except for claims seeking injunctive relief.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use after changes take effect constitutes acceptance of the revised Terms.

15. General Provisions

• Entire Agreement: These Terms, along with our Privacy Policy and EULA, constitute the complete agreement between you and Wyecliff
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
• Force Majeure: Neither party is liable for delays caused by events beyond reasonable control
