Terms of Service
The rules for using wyecliff.ai, our newsletters and forms, and Solutions Playground demos. Where a signed statement of work or master services agreement says something more specific, that document wins for paid work.
Acceptance
By using wyecliff.ai or any Wyecliff-hosted marketing or demo application we link from this site, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the site or demos.
If you access Wyecliff on behalf of a company, you confirm you have authority to bind that company to these terms.
Who We Are And What These Terms Cover
Wyecliff provides AI implementation and related professional services. These terms cover the public website, newsletter signup, careers and partner forms, contact forms, and Solutions Playground demo access. They do not replace a signed client agreement for paid engagements.
Accounts And Access
Most of the marketing site does not require an account. Demo access may require a short form and a temporary access token. Admin tools are for authorized Wyecliff personnel only. You are responsible for keeping any credentials or access links you receive confidential.
Acceptable Use
You may read, link to, and share Wyecliff content for lawful purposes with attribution where you quote us.
You may not:
- Attempt to break, scrape at abusive rates, or overwhelm the site or demos
- Probe, scan, or test vulnerabilities except with our written permission
- Impersonate Wyecliff or pretend to represent us
- Use the site to send spam or unsolicited commercial messages
- Upload malware, unlawful content, or content you do not have rights to submit
- Use Wyecliff materials to train an AI model for resale or redistribution without a written license from us
- Use Solutions Playground demos with real production, customer, patient, or other confidential data
- Circumvent demo access controls, rate limits, or security checks
For paid engagements, use of deliverables is governed by the signed statement of work and master services agreement.
Solutions Playground Demos
Demos are provided for evaluation and education. They use sample data and may be modified, rate-limited, or taken offline at any time. Demo availability is not a commitment to deliver a production system.
Demo access tokens are personal to you, time-limited, and may be revoked. Do not share access links publicly. Anything you type into a demo may be logged for security and product improvement of the demo environment.
Demos are provided “as is.” They are not designed for production workloads, regulated data, or uptime guarantees.
Submissions And Feedback
If you send ideas, feedback, or other submissions through forms or email, you grant Wyecliff a non-exclusive, worldwide, royalty-free license to use that feedback to improve our services. You confirm you have the right to send it and that it does not include confidential information of a third party unless you have permission to share it.
Job applications and partner applications are reviewed for those purposes only, subject to our Privacy Policy.
Intellectual Property
Content on wyecliff.ai (essays, newsletters, case studies, frameworks, designs, and code samples) is owned by Wyecliff or licensed from a third party. You may quote and reference with attribution. Republishing whole essays or editions without written permission is not allowed.
For client deliverables, the engagement-specific IP terms in the signed agreement govern. Our default for shipped internal systems is: the client owns the deliverable, and Wyecliff retains rights to underlying patterns, frameworks, and tooling used to build it.
The Wyecliff name, Wyecliff Weekly mark, and Wyecliff logo are property of Wyecliff. You may not use them in a way that suggests endorsement without permission.
Third-Party Services
The site and demos may link to or rely on third-party services. Those services are governed by their own terms. Wyecliff is not responsible for third-party content, availability, or practices beyond what the law requires.
Disclaimers
The site, demos, and their content are provided “as is” and “as available.” To the maximum extent permitted by law, Wyecliff disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Essays and newsletter editions are commentary, not legal, financial, or professional advice for your specific situation. If you are making a material business decision, talk with a qualified advisor.
We do not guarantee uninterrupted or error-free operation. We may change, suspend, or discontinue any part of the site or demos without notice.
Limitation Of Liability
To the maximum extent permitted by law, Wyecliff is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of your use of the site or demos, including loss of profit, revenue, data, goodwill, or business opportunity, even if we were advised of the possibility.
Wyecliff's total liability for any claim arising from your use of the public site or demos is limited to one hundred US dollars (US$100), or the amount you paid us (if any) specifically for access to the demo feature at issue in the twelve months before the claim, whichever is greater.
For paid engagements, the limitation-of-liability terms in the signed master services agreement govern instead of this section.
Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the fullest extent allowed.
Indemnification
You agree to defend, indemnify, and hold harmless Wyecliff and its officers, employees, and contractors from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the site or demos, your violation of these terms, or your infringement of someone else's rights, except to the extent caused by Wyecliff's willful misconduct.
Suspension And Termination
We may suspend or terminate access to the site or demos if you violate these terms, create security risk, or abuse the service. You may stop using the site at any time. Sections that by nature should survive (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
Changes To These Terms
We may update these terms from time to time. The “Last updated” date at the top will change when we do. Continued use of the site after an update means you accept the revised terms. If you do not agree, stop using the site.
Governing Law And Disputes
These terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute arising out of or related to your use of wyecliff.ai or the demos covered by these terms will be brought exclusively in the state or federal courts located in Denver, Colorado, and you consent to those courts.
Before filing a claim, you agree to email discovery@wyecliff.ai and allow thirty (30) days for good-faith resolution, except where urgent injunctive relief is needed to protect IP or security.
If any provision is held unenforceable, the remaining provisions stay in force. These terms are the entire agreement between you and Wyecliff for the public site and demos, unless a signed agreement says otherwise for a paid engagement.
